Terms of Service

These Terms are an agreement between you and Trasmonte Holdings, LLC, a Virginia limited liability company doing business as Coderex ("Coderex", "we", "us"). They govern your use of the Coderex desktop application, the web application at app.coderex.com, and the connection service that links them (together, the "Service"). By creating an account or using the Service you agree to them. If you are using Coderex for an organisation, you confirm you may bind that organisation.

1. What Coderex does

Coderex runs terminal sessions on your own computer and lets you reach them from a browser on another device. We provide the software and the connection service. We do not host, run or store your code, and we cannot read the contents of your sessions.

2. Your account

You need an account, created through GitHub or Google, and you are responsible for what happens under it. Keep your sign-in secure, pair only devices you control, and revoke any device you no longer use or recognise. Tell us promptly at security@coderex.com if you believe your account has been compromised.

3. Plans and limits

  • Free — one paired device, and a monthly allowance of active remote-session time. When the allowance is used up, new remote sessions stop until the month rolls over. A session already running is not cut off mid-use.
  • Pro — up to five paired devices and unmetered remote use, subject to the fair-use limits below.

Current allowances and prices are shown on our pricing page. We may change limits or prices, and will give reasonable notice before a change affects an existing paid subscription.

4. Payment

Paid plans are billed in advance through Stripe on the cycle you choose, and renew automatically until cancelled. You can cancel at any time and keep access until the end of the period you have paid for. Except where the law requires otherwise, fees already paid are non-refundable. You are responsible for any applicable taxes.

5. Acceptable use

Coderex executes commands on machines you control. You are responsible for what you run and for complying with the law and with any licence covering the code you work on. You agree not to:

  • use the Service to attack, scan or disrupt systems you do not own or have permission to test;
  • host or distribute malware, or use tunnels to serve unlawful content;
  • relay bulk traffic through the Service as a general-purpose proxy or CDN;
  • circumvent plan limits, metering or device caps, including by cycling device identifiers;
  • resell or provide the Service to third parties as your own;
  • reverse engineer, decompile or attempt to derive our source code, except where that right cannot lawfully be excluded.

6. Port tunnels

Tunnels make a service on your machine reachable at a public URL. Anyone with the link can reach it while the tunnel is open. You are solely responsible for what you expose, for securing it, and for closing the tunnel when you are finished. Do not tunnel a service holding data you are not willing to have accessed by whoever obtains the URL.

7. Third-party tools and AI agents

Coderex can launch third-party agents such as Claude Code, Codex, Gemini and OpenCode. These run on your machine under your own accounts and API keys, and you are billed by those providers directly under their terms. We do not control their output and are not responsible for it. Review what an agent proposes before you let it act — particularly when it can modify files or run commands.

8. Licence

Coderex is proprietary software, not open source. Subject to these Terms we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the application on devices you control, for as long as your account is in good standing. We keep all other rights. Third-party components are covered by their own licences, listed in the application.

9. Your content

Your code, files and terminal sessions are yours. We claim no ownership and no licence over them. The limited data we do handle is described in our Privacy Policy.

10. Availability

We aim to keep the Service running but do not guarantee uninterrupted availability. We may perform maintenance, change features, or discontinue parts of the Service. Because your terminals run on your own computer, an interruption to our connection service does not stop your work locally — it only interrupts remote access.

11. Beta features

Features marked beta or experimental are provided as-is, may change or be withdrawn, and are excluded from any commitments in these Terms.

12. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the Service or its users — with notice where practical, and immediately where the risk is serious. On termination your licence ends; the software you have installed will continue to run locally, but remote access will stop.

13. Disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

14. Limitation of liability

To the fullest extent permitted by law, Coderex will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.

Some jurisdictions do not allow certain exclusions, so parts of the two sections above may not apply to you. Nothing here limits liability for fraud, or for anything else that cannot lawfully be limited.

15. Indemnity

You agree to indemnify Coderex against claims arising from your use of the Service in breach of these Terms or the law — including claims relating to anything you expose through a tunnel.

16. Changes to these Terms

We may update these Terms. The version number and date above will change, and we will ask you to accept a materially changed version in the application. Continuing to use the Service after a change means you accept it.

17. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, USA, excluding its conflict-of-laws rules, and the state and federal courts located in Virginia have exclusive jurisdiction — except that either party may seek injunctive relief wherever appropriate. If you are a consumer, this does not remove any protection you have under the mandatory law of your country of residence.

18. General

These Terms, with the Privacy Policy, are the entire agreement between us. If a provision is held unenforceable, the rest stands. Our not enforcing a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
